Vitacost faces delisting, could file Ch. 11

Once on Inc.'s list of the top 500 companies in the nation, Boca Raton-based Vitacost.com faces the delisting of its stock.

The online vitamin seller said it received a letter on Jan. 3 from the Nasdaq Stock Market, indicating that it has not held its annual meeting of stockholders within the timeframe allowed under listing rules.

Nasdaq suspended trading during the appeals process. The company's stock has not traded since Dec. 7, when it was .70 a share.

Last month, the company (NASDAQ: VITC) said it was postponing its annual meeting because its financial statements could not be relied upon.

It stated in a news release that its advisers discovered "certain potential defects" in the company's corporate organizational and formation documents and that "certain corporate transactions" may not have been authorized in accordance with the law.

The company noted that it was working to resolve the problems, which date back 16 years, and that a solution may include a Chapter 11 reorganization of the company's equity structure.

The company, which went public in September 2009, traded at a high of .45 in March 2010.

In May, the company said it hired a financial adviser to pursue a potential sale or merger.

CEO Ira P. Kerker stepped down in August.In its most recent earnings report, Vitacost.com said net sales increased 14.1 percent, to million from .4 million a year earlier. Profit fell to .3 million from .1 million for the same period.

The company said in its filing with the Securities and Exchange Commission that a Nasdaq hearing panel will consider the delisting and that the company plans to address the issue at that hearing.

Vitacost.com, ranks 80th on Internet RetailerTop 500 Guide.

According to the report, the company saw sales growth of 33.6 percent in 2009.
